Acceptance of these terms
These Terms of Use govern your use of skyllamaspro.com, including our instant production estimator, My Projects, online proposals, electronic signatures and online payments (together, the "Site"), operated by Skyllamas Productions LLC ("Skyllamas", "we", "us"), 225 US Route 46, Ste. 2B, Totowa, NJ 07512. By using the Site you agree to these terms and to ourPrivacy Policy. If you don't agree, please don't use the Site.
These terms cover use of the website. Production work itself is governed by the signed proposal and agreement for your project. If those documents conflict with these terms, the signed agreement controls.
Estimates are not offers
Ranges from our instant estimator are preliminary planning information based on the answers you provide. They are not quotes, offers or binding proposals, and they don't reserve dates, crew or equipment. Final pricing is set only in a written proposal we prepare after reviewing your project. Applicable taxes are not included in estimates.
Proposals & electronic signatures
- A proposal becomes a binding agreement only when you accept and sign it and we receive the required deposit. We may withdraw or revise a proposal before it is signed, and proposals expire on the date shown.
- By signing electronically you agree to do business with us electronically and confirm that your electronic signature is legally binding under the federal Electronic Signatures in Global and National Commerce Act (ESIGN) and the New Jersey Uniform Electronic Transactions Act. You may request a paper copy of any signed agreement at no cost.
- You confirm that you are at least 18 years old and authorized to sign on behalf of the person or organization named in the proposal, and that the information you provide is accurate.
- Proposal links are private. Please share them only with people authorized to review your project.
Payments
Online payments are processed by Stripe, Inc., subject to Stripe's terms. Amounts, deposits, payment schedules, cancellation and refund terms are set out in your signed agreement. New Jersey sales tax is charged where applicable under state law; if you claim an exemption, you're responsible for providing a valid exemption certificate.
Using our website
You agree not to:
- use the Site for any unlawful purpose or to submit false, misleading or someone else's information;
- try to access proposals, accounts or systems that aren't yours, or interfere with the Site's security or operation;
- use bots or automated tools to scrape, overload or submit forms on the Site;
- upload or send anything that is harmful, infringing or malicious.
Our content & trademarks
The Site's text, design, graphics and code are owned by Skyllamas or its licensors. Portfolio videos and images belong to Skyllamas and/or our clients and the artists featured, and are shown with permission. You may view and share links to our content for personal, non-commercial purposes, but you may not copy, download, edit or reuse it without written permission. SKYLLAMAS® and our logos are trademarks of Skyllamas; please don't use them without permission.
What you send us
When you share scripts, ideas, brand materials or other information with us, you confirm you have the right to share them, and you allow us to use them to prepare your estimate, proposal and production. We treat project materials you send us as confidential and don't share them outside our team and service providers except as described in ourPrivacy Policy or as you authorize.
Third-party services
The Site uses or links to services we don't control, including YouTube, Stripe, our scheduling tool and social media sites. Your use of them is governed by their own terms and policies, and we aren't responsible for their content or practices.
Disclaimers
To the fullest extent permitted by law, the Site and its content are provided "as is" and "as available". We work to keep the Site accurate and available, but we don't guarantee it will always be error-free, uninterrupted or secure. Nothing on the Site is legal, tax or financial advice.
Limitation of liability
To the fullest extent permitted by applicable law, Skyllamas will not be liable for indirect, incidental, special, consequential or punitive damages arising from your use of the Site, and our total liability for any claim arising from your use of the Site (as opposed to a signed production agreement) will not exceed one hundred dollars ($100). These limits do not apply to liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct or fraud.
Indemnification
To the extent permitted by law, you agree to indemnify Skyllamas against claims and costs (including reasonable attorneys' fees) arising from your misuse of the Site or your violation of these terms or of someone else's rights.
New Jersey consumers
Nothing in these terms is intended to limit any right you have under New Jersey law, including the New Jersey Consumer Fraud Act and the Truth-in-Consumer Contract, Warranty and Notice Act. If any provision of these terms is void, unenforceable or inapplicable under New Jersey law — including any disclaimer, limitation of liability or indemnification provision above — that provision does not apply to you to that extent, and the rest of these terms remain in effect.
Governing law
These terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. Any dispute arising from them will be brought in the state or federal courts located in or serving Passaic County, New Jersey, except where applicable law gives you the right to bring a claim elsewhere.
General
We may update these terms from time to time; the "Last updated" date above shows the latest version, and changes apply from that date forward, never retroactively to signed agreements. If any part of these terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision isn't a waiver. These terms and our Privacy Policy are the entire agreement between you and us regarding use of the Site.
